Transurban director to retire after AGM – moving to BHP Board

Transurban has announced Non-executive Director Christine O’Reilly will retire from Transurban Group’s Board following the Annual General Meeting (AGM).

This year Transurban’s AGM will be held virtually on Thursday October 8.

Terry Bowen, who was appointed as a Transurban Non-executive Director in February 2020, will take over on the Audit and Risk Committee from September 1 2020. He will also chair the Audit and Risk Committee following the retirement of O’Reilly.

O’Reilly will now take up a position as Non-Executive Director at the BHP Board from October 12, 2020. She will also become a member of BHP’s Risk and Audit Committee and the Remuneration Committee, effective October 12, 2020.

BHP Chair, Ken MacKenzie, said we are delighted that Christine will be joining our Board. Christine’s extensive executive and non-executive experience in financial and operational roles, and her wide range of skills will help to strengthen the Board’s experience and expertise.

“She will bring deep financial and public policy expertise, as well as valuable insight and experience in large scale capital projects and transformational strategy.”

MacKenzie said O’Reilly’s appointment reflected the Board’s commitment to a continuous, structured and rigorous approach to Board succession and planning and this appointment is based on the balance of attributes, skills, experience, diversity and tenure necessary for the Board to govern BHP effectively.

Transurban Chairman, Lindsay Maxsted, said over the past eight and a half years Christine has made a significant contribution to the growth and success of Transurban through her role as a Director and a member of the Audit and Risk Committee and since 2017 as the Chair of the Audit and Risk Committee.

“We thank her for her service and on behalf of the Board and all security holders and wish her well in her future endeavours.”

For the AGM shareholders will be able to attend, vote and ask questions in real time though their computer or mobile device. Questions can also be submitted in advance using an online voting website.
